Terms & Conditions


These terms and conditions apply to the purchase of any goods / products from Rainbow Wood and our associate web sites. By placing and order by whatever means (telephone, in person at our showrooms or via the internet) you agree to be bound by the terms, conditions and policies set out below. Nothing in these conditions affects your statutory rights as a consumer.

Please read our terms and conditions carefully before placing your order. We reserve the right to change these terms and conditions at any time and therefore it is important to read these terms and conditions each time you place an order.

1. Definitions


  • "Buyer" means the person who purchases or agrees to purchase a Product(s).
  • "Conditions" means the Terms and Conditions of sale set out herein.
  • "Seller" means Rainbow Wood.
  • "Delivery Date" means the agreed date of purchase delivery.
  • "Price" means the agreed purchase price of the Product(s) including delivery, packing and VAT.
  • "Regulations" means The Consumer Protection Regulations 2000 and subsequent amendments (Distance Selling Rights).
  • "Consumer" is defined at Section 12 of the Unfair Contract Terms Act 1977.
  • "Contract" refers to any contract between the customer (consumer) and Rainbow Wood (the seller) for the sale and purchase of Products incorporating these conditions, howsoever the transaction is completed.
  • "Delivery Place" refers to the delivery address as specified by you, the Buyer, at the time of Order.
  • "Order" refers to your offer, as the Buyer, to purchase Products from Rainbow Wood, howsoever it is communicated to us.

2. Application of Conditions


Unless otherwise agreed in writing, these Conditions shall apply to all purchases made with Rainbow Wood. Each order that a Buyer places shall be deemed to be an offer by the Buyer to purchase goods from Rainbow Wood (the Seller) and shall be deemed to be subject to these conditions.

Each order that the Buyer places shall be deemed to be accepted by the Seller and will become binding once the Seller issues confirmation in writing (including by way of issuing an invoice for the sale) to the Buyer or, if earlier, the Seller delivers the goods to the Buyer. If for any reason the Seller does not accept the Buyer's Order, the Seller will advise the Buyer as soon as is practicable. In such circumstances no contract will exist between the parties.

The Buyer must ensure that the details provided to the Seller are complete and accurate and that he provides all the necessary information relating to the Supply of the goods within sufficient time to enable the Seller to perform the Contract in accordance with these conditions.

Any error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller.

If the Seller is not able to supply the Product and payment has already been made by the Buyer, then following agreement between the Seller and the Buyer, the Buyer's account will be refunded or re-credited with the sum paid by the Buyer. The refund will be carried out as soon as possible, in any event, within 30 days of the order. The Seller will not be obliged to offer any compensation for any disappointment suffered.

If any provision of these conditions is adjudged invalid or unenforceable in whole or in part, the validity of the other provisions of these conditions and the remainder of those provisions in question shall not be affected.


3. Basis of Sale


Subject to the Buyer's right to cancel the Contract, as set out below, the Seller shall sell and the Buyer shall buy the goods in accordance with the agreement. No Contract exists between the Buyer and Seller for the sale of any goods until the Seller has received, processed and confirmed the order and the Seller has received payment in full, (in cleared funds). Once the Seller does so, there is a legal binding Contract between the Buyer and Seller.

Full details of the goods to be supplied under the contract, their cost and approximate delivery time will be confirmed in writing following the receipt of an order.

The Buyer shall not be entitled to assign the Contract or any part of it without prior written consent. Rainbow Wood does not guarantee the continued availability of any range (or any part thereof). A full refund will be given on any part of an order that cannot be fulfilled in accordance within a reasonable period.


4. Price and Payment


The Contract price for the supply of goods shall be as set out in the Confirmation. In the event of any increase in the cost to the Seller of raw materials, labour, overheads, or any increase in taxes or duties, or any variation in exchange rate the Seller may increase the Price payable under the Contract upon written notice. If notice of price increase is given by the Seller, the Buyer shall have the right to cancel the order and receive back any sums they have paid. Notice of cancellation must be received in writing by the Seller within seven days of delivery of the notice of price increase to the Buyer.

Full paymenmt for the goods shall be due on the date of the purchase order unless otherwise agreed in writing. In any event full payment shall be due before the agreed delivery date. In the instance that payment has not been received and an order has been confirmed, interest on overdue invoices shall accrued from the date when payment becomes due on a daily basis until the date of payment at the rate of 2% above the Bank of England's base rate in force at that time. No payment shall be deemed to have been received until the Seller has received cleared funds. There will be no delivery until cleared funds have been received. Payment for the goods and any delivery charges can be made by any method shown on the Seller's website at the time the Buyer places an order.

5. Warranties and liabilities


The Seller warrants that the goods will correspond with their specification at the time of delivery and will be free from defect in quality, material workmanship and condition for a period of 12 months from delivery, unless otherwise specified and subject to conditions set out below. In the event of defect the buyer shall:

Within 7 days of the time the Buyer discovers or ought to have discovered the defect provide details of said defect and such evidence of the defect as is deemed necessary by the seller.

The Seller shall be given reasonable opportunity thereafter to examine the goods in question and the Buyer (if asked to do so by the Seller) shall return the goods to the seller at Seller's cost for the examination to take place. In some circumstances the seller will arrange collection of the defective goods for examination within a reasonable time.

The Seller shall not be liable for a breach of the warranty if:

  • * The Buyer makes further use of the defective goods after giving notice of the defect to the Seller.
  • * The defect arises as a result of fair wear and tear, willful damage, negligence, misuse, abnormal working conditions or failure to follow oral or written instructions as to the storage, use or assembly of the goods.
  • * The Buyer alters or repairs such Products without the sellers written consent.
  • * The Buyer has not paid the Contract price for the goods.

If upon inspection it is apparent that the goods have been supplied in a faulty / damaged state, then within 30 days of the examination, the Seller will (at the sellers discretion) either:

Repair or replace such goods (or the defective part(s)) free of charge; or

Refund the price of such goods (or a proportionate part of the price) provided that the Buyer offers up the goods (or relevant parts) for collection (if not already collected) or, if the Seller so requests and at the Seller's expense the Buyer shall return the goods or the part of such goods which is defective to the Seller.

If the Seller complies with the above the Seller shall have no further liability for breach of any warranty in respect of such Products.

6. Delivery


Delivery will be agreed and arranged at the time of receipt of the stock by the seller where the item is not already in stock. In some circumstances the seller will agree a delivery time with the buyer at the time of order. Delivery estimates are approximate and lead times are subject to change as they are affected by circumstances beyond the sellers control. The seller will contact the buyer to confirm delivery. The seller is unable to provide more than an approximation of the delivery time (i.e. Morning or afternoon). Our vans do not generally leave our warehouses until approximately 10am and therefore delivery before this time will only be agreed in exceptional circumstances.

It is important that before the buyer signs for the goods, they check all external packaging for signs of damage. Signing for the goods without any extra notes will mean you have accepted the goods "in good order". Transport damages cannot be claimed at a later date if the delivery was signed for "in good order".

If there are signs of damage to the packaging, the buyer or person accepting the goods MUST sign for the items as damaged. The seller or person accepting delivery MUST accept all items and call the seller straight away, the seller will then arrange for ANY DAMAGED items to be replaced as outlined above.

Any delivery times are approximate and no responsibility will be accepted for deliveries canceled or delayed on account of circumstances beyond our control.

7. Acceptance of the Product(s)


After delivery the buyer shall have 14 days during which (s)he may cancel the contract. If the buyer decides to take up this option (s)he shall:

  • 1. Notify the Seller without delay and not later than 14 days after the delivery date.
  • 2. Make the goods available for collection at a time and place that is convenient to both parties or return the goods personally or by other means at his / her own expense.
  • 3. Return the goods unopened in their original packaging - goods that have been opened / unpackaged will not be accepted by the seller.

Upon receipt of the items to be returned the seller shall arrange a refund for the full purchase price of the goods. Any refund will not include any payment made for delivery and in some circumstances a charge will be applicable for the collection of the goods.

Note: In the absence of any notification as outlined above the goods shall be deemed as accepted on the 14th day following delivery.

Goods Assembled By the Seller or Their Agents: Where goods are delivered and assembled by the seller or their agents the goods shall be deemed accepted when the assembly team leave the address whosoever oversees delivery and assembly of the goods in question. Once assembled goods may not be returned save for in exceptional circumstances.

Damages: If damages are noticed during the assembly process the Seller will seek to replace the damaged parts at no cost as soon as is practicable in the circumstances. Note: Whilst some spares are held in stock most spare parts have to be ordered from our suppliers and can take a number of weeks to arrive.

Damage to Property: No liability shall be accepted for accidental damage to a customers property during delivery or assembly. Whilst every effort will always be made to ensure that the utmost care is taken when delivering and or assembling goods the buyer allows our delivery / assembly teams into their homes at their own risk.

Non-Deliveries:

On occasions there may be shortages in stock. Where this is the case the seller will ensure that the buyer is aware of what has not been delivered and so far as is possible indicate when the missing item can be expected.

Where a delivery date has been agreed between the parties and the buyer or their representative is not at the given address to accept delivery Rainbow Wood retain the right to make a further charge for any rearranged delivery. Each such case will be considered upon its own merits and additional delivery charges in these circumstances will be wholly at the discretion of the seller.

Description and Images: Where a product is purchased unseen by the buyer, the buyer assumes the risk that the product may differ in appearance to that shown in the images on any published material. Furthermore, no returns shall be accepted due to apparent or perceived differences in finish or colour due to the fact that colours and finishes can be deceptive on computer generated or printed material. This does not affect the customers right to cancel the contract as outlined above where goods are able to be returned unopened. Buyers are urged to read the product descriptions carefully before purchase.

8. Risk and title


Once the goods have been delivered to the buyer (s)he will be responsible for them. Rainbow Wood will only deliver goods to the address on the order (unless specifically agreed) and goods will not be left without a signature. From the time of receipt delivery of the goods, any loss or damage to the goods shall be the responsibility of the buyer. Any transit damage to the goods or any package number shortages must be noted on the delivery consignment note at the time of delivery. Risk of damage to or loss of the Products shall pass to the buyer / customer upon delivery.

9. General


Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside of their reasonable control, including but not limited to strikes, lock outs, accidents, war, fire, reduction or unavailability of power at the Seller's / suppliers premises. Failure or delay by the Seller in enforcing any provision of the Contract will not be construed as a waiver of any of its rights under the Contract.

10. Law of Contract


The Contract shall be governed by the law of England and Wales and any dispute, question or remedy however-so arising shall be determined exclusively by the Courts of England and Wales.

11. Limitation of Liability


The Seller's total liability in Contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of this agreement shall be limited to the price paid for the Products.

Nothing in these conditions excludes or limits the liability of the Seller for death or personal injury caused by the Seller's negligence or fraudulent misrepresentation.

The Seller shall not be liable to the Buyer for any indirect or consequential loss or damage (whether for the loss of profit, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with this agreement.

12. Complaints and disputes


If the Buyer has a complaint about the Goods or service, the Buyer should contact Rainbow Wood.


The Seller will make every effort to respond to any complaint within 14 working days of receipt.
